- [your legal name], a company registered in England and Wales, trading as [your site name], of [your address] (the "Client").
Definitions
CBS / the System: the Campsite Booking System software, including the WordPress plugin, management and guest apps, API and all updates, owned by the Supplier.
Site: the Client's website on which the System is installed.
Pitch Tier: the number of bookable pitches or units, as set out in the Order Schedule.
Subscription Fee: the fees in clause 3 and the Order Schedule.
Client Data: booking, guest and pricing data entered into the System by or for the Client.
Client Requirement List (CRL): any signed list of setup requirements or customisations, attached to the Order Schedule.
2. Licence and Ownership
- The Supplier grants the Client a non-exclusive, non-transferable licence to use CBS on the Site for the duration of this Agreement.
- CBS remains the sole property of Technophobia Ltd. No ownership of the software, code, apps, designs or API passes to the Client. The Client must not copy, resell, sublicense, modify or reverse-engineer the System.
- The Subscription Fee includes: use of the System, software updates and security patches, access to the management and guest apps, and standard email support.
- The Supplier may improve or change features at any time, provided core booking functionality is not materially reduced.
- CBS is commission-free: the Supplier takes no percentage of the Client's bookings.
3. Fees and Payment
- The Client pays the Subscription Fee for the number of pitches or units in the Order Schedule. All prices exclude VAT.
| Pitches | Monthly | Annual (pay 10 months, get 12) |
|---|
| 1 pitch | Free (no support or provisions) | Free |
| Up to 10 pitches | £25.00 | £250.00 |
| Each pitch over 10 | £25 per pitch per year, billed as £2.08 per month | £20.83 per pitch |
Example: 20 pitches = £25.00 + (10 × £2.08) = £45.83 per month, or £458.33 per year paid annually.
• Monthly billing: payable monthly in advance by card through the Supplier's online billing, or as otherwise agreed in writing, from the Go-Live Date.
• Annual billing: paying the year upfront gives 12 months for the price of 10. Annual fees are non-refundable once paid.
• If the Client adds pitches, the Supplier will adjust the fee from the next billing period (pro rata for annual plans).
• The free 1-pitch plan includes no support, setup or provisions, has no minimum term, can be cancelled by the Client at any time, and may be withdrawn on 30 days' notice.
• The Supplier may review prices once a year on 30 days' written notice. Prices are fixed during the Initial Term.
• If any payment is more than 30 days overdue, the Supplier may suspend the Client's access to the System until it is paid.
• Setup, customisation or work in any CRL is charged at £75 per hour or as quoted.
4. Term and Cancellation
- Initial Term: for paid plans, this Agreement runs for a minimum of 12 months from the Go-Live Date.
- Renewal: after the Initial Term it continues on a rolling monthly basis until cancelled.
- Cancellation: either party may cancel by giving 30 days' written notice. Notice may be given during the Initial Term but cannot take effect before the Initial Term ends.
- Early cancellation: if the Client ends the Agreement before the Initial Term expires (other than for the Supplier's breach), the Subscription Fees for the rest of the Initial Term become due immediately.
- Breach: either party may end this Agreement immediately if the other materially breaches it and fails to fix the breach within 14 days of written notice, or becomes insolvent.
- On termination: the licence ends, the Supplier will deactivate the System on the Site, and the Client pays all fees due to the termination date. The Supplier will provide an export of Client Data on request within 30 days (see clause 5).
5. Client Data and Bookings
- The Client owns its Client Data. The Supplier acts as data processor under UK GDPR and the Data Protection Act 2018, processing Client Data only to provide the System.
- The Client is responsible for its own booking terms, cancellation policy, pricing, pitch availability and guest communications.
- Guest payments go directly to the Client's own payment provider. The Supplier does not handle guest money and is not responsible for chargebacks, refunds or payment provider fees.
- Within 30 days of termination, the Supplier will supply a CSV export of Client Data on request, then delete it unless required by law to keep it.
6. Support and Availability
- Support is by email at hello@technophobia.uk, Monday to Friday, 9am–5pm UK time, excluding public holidays. The Supplier aims to respond within 1 Business Day.
- The Supplier will use reasonable efforts to keep the System available but does not guarantee uninterrupted operation. The Client's hosting, WordPress install, domain and third-party plugins are the Client's responsibility unless included in the Order Schedule.
- The Client must not alter the System's code or install conflicting plugins without the Supplier's agreement.
7. Liability
- Nothing limits liability for death or personal injury caused by negligence, fraud, or anything that cannot legally be limited.
- The Supplier is not liable for lost bookings, lost profit, revenue or data, or any indirect or consequential loss.
- The Supplier's total liability is limited to the fees paid by the Client in the 12 months before the claim.
8. General
- This Agreement, the Order Schedule and any CRL form the entire agreement. Changes must be in writing and signed by both parties.
- Neither party is liable for delays caused by events outside its reasonable control.
- The Client may not assign this Agreement without the Supplier's written consent.
- Notices must be in writing by email or post to the addresses above.
- This Agreement is governed by the law of England and Wales, and its courts have exclusive jurisdiction.
